- Invoices are payable within 14 days of issuance
- Payment is accepted in Thai Baht via bank transfer or other agreed methods
- Late payment may incur interest charges at 1.5% per month
5.3 Expenses
Extraordinary expenses (travel outside Bangkok metropolitan area, specialized materials) are billed separately with prior approval.
6. Intellectual Property
6.1 Company Materials
Our methodologies, frameworks, templates, and general consulting materials remain our intellectual property. Clients receive limited licenses to use deliverables for their internal business purposes.
6.2 Client Information
Clients retain ownership of their proprietary information shared during engagements. We maintain confidentiality as specified in Engagement Agreements and professional standards.

All website content, including text, graphics, logos, and design elements, is protected by copyright and may not be reproduced without written permission.
7. Confidentiality

9. Limitation of Liability

10. Indemnification
Clients agree to indemnify us against claims arising from client misuse of deliverables, implementation of recommendations against our advice, or client violations of applicable laws or regulations.
11. Termination
11.1 By Client
Clients may terminate engagements with written notice. Fees for work completed and committed resources are payable upon termination.
11.2 By Company
We may terminate engagements if client breaches payment terms, fails to provide necessary cooperation, or if circumstances make continued work impractical.
11.3 Effect of Termination
Upon termination, clients receive deliverables for completed work phases. Confidentiality obligations and intellectual property provisions survive termination.
12. Dispute Resolution
12.1 Governing Law
These Terms and Conditions are governed by the laws of Thailand. Any disputes are subject to the exclusive jurisdiction of Thai courts in Bangkok.
12.2 Informal Resolution
Before pursuing formal proceedings, parties agree to attempt good-faith negotiations to resolve disputes. Direct discussions often lead to mutually acceptable solutions.
12.3 Mediation
If negotiations fail, parties may agree to mediation before pursuing litigation. Mediation costs are shared equally unless otherwise agreed.
13. General Provisions

13.2 Severability
If any provision is found invalid, remaining provisions continue in effect.
